Eskridge Terms of Sale

Taxes - All taxes presently or hereafter imposed on the manufacture, sale or delivery of any Eskridge products ordered including any increases of such taxes shall be charged to the purchaser in addition to the prices set forth in Eskridge's quotations.

Quotations - Eskridge's quotations are not offers subject to the purchaser's acceptance, but are information upon which the purchaser may base his purchase order to Eskridge. Eskridge's quotations automatically expire thirty (30) days from the date made, unless stated otherwise on a written quotation.

Terms - All accounts are C.O. D. or prepaid unless approved for open account. Otherwise, the terms of all shipments are net thirty (30) days. Prices are F.O.B. Olathe, Kansas, payable in U.S. funds. Interest at the lawful maximum rate will be charged on all past due items.

Minimum Billing - Eskridge requires a minimum of $100.00 per ship-to address on all orders.

Orders - Verbal orders will not be processed until confirmed by e-mail, fax or mail. For custom orders, Eskridge must receive an approved drawing prior to release for production. All purchase orders must be finally accepted by Eskridge at Olathe, Kansas, to be binding upon Eskridge. All contracts and orders are subject to Eskridge's credit approval and to Eskridge's written acceptance. Eskridge may, at any time, alter or suspend credit, refuse shipment or cancel unfilled orders, when in Eskridge's opinion the financial condition of the purchaser warrants or when the purchaser is deliquent in any payment.

Shipping and Delivery Schedules - Shipment and delivery dates are estimates only, are based on current conditions and Eskridge's ability to secure labor, materials and parts, and where applicable are estimated from the date approved drawings are received from purchaser. Delivery is subject to any and all requisitions, priorities, allocations, restrictions, or controls now or hereafter established by any governmental entity. There shall be no penalty to Eskridge for delay without Eskridge's prior written agreement. Eskridge shall not be liable for any delay in delivery nor for failure to complete any order if such delay or failure is due to fire, strikes or other labor troubles, accidents, transportation delays, shortages of material or machinery, government action or any other cause beyond the control of Eskridge, and in the event of such occurrences. Eskridge may, at its election, cancel this order or any part thereof.

Quick Turn Orders-
Series 20, 50K, 130L and 250 gear drives may be available to ship in 5 working days from receipt of written order under the Eskridge Quick Turn program. Series 90B or 95C multiple disc brakes can be added to Quick Turn gear drives. Not all combinations of mounting flange, output shafts, input splines and ratios are possible to expedite. Expedited Orders -
Written order for spare parts or kits must be received before 11 a.m. CST in order to ship same-day. Selected gear drives shipped within 5 business days are subject to Quick Turn fees. See Quick Turn Orders, above. Expedited shipments (less than standard lead time) may be subject to the following fees:

	20/28/50 Gear Drives	25%
	65/100/130 Gear Drives	15%
	150/250/600/1000 Gear Drives	10%
	Any Multiple Disc Brake	25%
	Spare Parts or Repair Kits	25%

Cancellation - All orders are firm within 30 days of scheduled shipment. If orders accepted by Eskridge are canceled by the purchaser within 30 days of shipment, the purchaser shall pay all costs, expenses, losses and damages sustained by Eskridge in connection with such termination including administrative and engineering expense. In addition, the purchaser agrees to pay a $75.00 cancellation charge.

Refund Policy (see also: Warranty returns)

1. Custom Units, custom assemblies and obsolete parts are not refundable but may be warrantable. All Units are not refundable.
2. Any part(s) returned to Eskridge must be authorized by Eskridge with an assigned return (CSR) number.
3. The returned part(s) shall be shipped to Eskridge freight prepaid and must be in like-new condition.
4. A 25% re-stocking fee may be applied to all returned part(s).

Shortages or Damage - The purchaser's claims for shortages in deliveries must be made in writing within ten (10) days after receipt of shipment. Loss or damage to any Eskridge product in transit is the sole responsibility of the carrier.

Patent Infringement - If the purchaser's drawings or specifications infringe upon a patent or trademark, Eskridge will in no way be responsible for any claims or damages resulting from each infringement.
